Exemption from the mandatory bid obligation in Eidesvik Offshore ASA

Eidesvik Invest AS (986 942 688) (“EINV” or the “Company”) was founded in 2004 as a continuation of Eidesvik Holding AS, and was part of the process of the listing of Eidesvik Offshore ASA (“EIOF”) in 2005. Shareholders in EINV are Bømmelfjord AS (55%, 917 908 923) and EVIK AS (45%, 923 746 056).

EINV today operate within different businesses, and the Company want to separate the different business areas in designated companies. In this process, the Company want to isolate all assets related to operation and development of real estate, and transfer all other assets, including the ownership in EIOF, to Klubben Vekst Temp AS (“KVT”, 924 696 850). Bømmelfjord AS and Evik AS holds the same ownership distribution in KVT as they hold in EINV.

The reorganization does not imply a change of control of the ultimate ownership in EIOF. Neither is it part of a chain of transactions that may lead to a change of control.

On this basis KVT has been granted an exemption from the mandatory bid obligation in EIOF pursuant to section 6-2 (3) of the Norwegian Securities Trading Act.
